Terms of Service
§ 1 Scope
(1) These Terms and Conditions (hereinafter referred to as “Terms”) apply to services provided by IT Surmann LLC, 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110, United States (hereinafter referred to as “Bootify.io”) and its users (hereinafter referred to as “Customers”). By starting a project, creating an account, purchasing an upgrade or otherwise using the services provided by Bootify.io, the Customer accepts these Terms.
(2) Any conflicting or additional terms proposed by the Customer shall not apply unless expressly agreed to in writing by Bootify.io.
(3) The Customer may not sublicense access to or use of Bootify.io without the prior written consent of Bootify.io.
(4) Bootify.io may amend these Terms with effect for the future where reasonably necessary to reflect changes in applicable law or regulatory requirements, security requirements, technical changes to the service, or changes to third-party services on which the service depends.
Customers will be informed within a reasonable period before any material changes take effect, by e-mail where available or through the service. If a material change adversely affects a consumer, the consumer may cancel any affected paid subscription before the change takes effect and, where applicable, receive a pro-rata refund of prepaid fees for the unused subscription period.
(5) These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, excluding the UN Convention on Contracts for the International Sale of Goods.
If the Customer is a consumer, this choice of law does not deprive the Customer of the protection provided by mandatory laws of the country in which the Customer has their habitual residence.
For Customers using the service for business purposes, the courts of England and Wales have exclusive jurisdiction. Consumers may bring proceedings before any court available to them under applicable mandatory law.
§ 2 Services provided by Bootify.io
(1) To use the services provided by Bootify.io, the Customer starts a project on the website https://bootify.io. After starting a project, the Customer is granted access to an online tool operated through the browser (“Bootify.io Builder”).
(2) Registration is optional and allows Customers to manage their generated projects. Additional features may be unlocked for a project or account through paid upgrades.
(3) Purchases are made through Paddle, which acts as the authorized reseller and Merchant of Record. Paddle handles checkout, payment processing, billing, applicable taxes, invoicing, subscription cancellation and refunds. Bootify.io provides the product and product-related support.
Purchases made through Paddle are also subject to the applicable Paddle Buyer Terms and Refund Policy.
(4) The Bootify.io Builder can be used to define a basic project setup for a Spring Boot application, which may include a custom database schema, frontend and other selected components. The information entered by the Customer constitutes the project data (“Project Data”).
The resulting source code can be reviewed and downloaded so that the Customer can complete the application development. Generated source code is incomplete and untested and may require further adaptation, review and testing by the Customer.
(5) Under the Enterprise plan, Bootify.io may provide access to a Docker image for operating a single adapted instance of the Bootify.io website in a cloud or on-premises environment.
(6) Bootify.io may adapt its services where reasonably necessary to reflect changes in applicable law or regulatory requirements, security requirements, technical requirements, or changes to third-party technologies or services on which the service depends, provided that the core service is not materially impaired.
Where such a change materially and adversely affects a consumer’s use of a paid service, Bootify.io will provide reasonable advance notice where possible and the consumer may cancel the affected subscription and receive a pro-rata refund of prepaid fees for the unused subscription period.
§ 3 Obligations of the Customer
(1) When starting a project, a unique ID and URL are generated for that project. The Customer should save the URL if they wish to access the project at a later time. The URL must be kept confidential and must not be shared with unauthorized persons. When using a public or shared computer, the Customer must log out and delete any stored cookies.
(2) The Customer must not create an excessive number of projects or otherwise use the service in an abusive or excessive manner.
(3) The Customer must not submit personal data relating to identifiable individuals as project data or otherwise use the service to process personal data on behalf of third parties.
(4) If the Customer registers an account, they must keep their login credentials confidential and protect them against unauthorized access.
(5) Generated source code is incomplete and untested and may contain errors due to the individual combination of Project Data. Before using the generated code in a production environment, the Customer must appropriately review, test and complete it.
(6) If an instance of the Bootify.io website is operated under the Enterprise plan, the Customer is responsible for its proper and secure operation, including appropriate security precautions and regular backups. After the Enterprise plan ends, the instance may no longer be operated unless otherwise agreed in writing.
The instance must not be made publicly accessible on the internet. Technical details relating to the Docker image and its operation are confidential. Reverse engineering is prohibited except to the extent expressly permitted by applicable law.
To investigate technical errors, the Customer must provide the information reasonably required to reproduce and resolve the error, such as relevant log entries or browser error messages.
§ 4 Rights to generated code and third-party rights
(1) The Customer is solely responsible for the Project Data they provide and must ensure that they have all rights necessary to use and process such data. The Customer grants Bootify.io the right to process the Project Data to the extent necessary to provide the service.
(2) Subject to paragraphs (3) to (6), Bootify.io grants the Customer a non-exclusive, perpetual, worldwide, transferable and sublicensable right to use the generated source code, including for commercial purposes.
(3) The Customer must not directly resell or redistribute multiple variants of the generated source code for the purpose of creating an alternative to the Bootify.io Builder or another substantially similar competing service.
(4) If a full refund is granted for a paid upgrade, the Customer must cease using and delete source code generated through the refunded paid features.
(5) The Customer must not use multiple variants of the generated source code to train an artificial intelligence system for the purpose of creating an alternative to the Bootify.io Builder or another substantially similar competing service.
(6) Generated source code may reference or incorporate third-party technologies and libraries. The Customer is responsible for reviewing and complying with the applicable third-party licence terms.
Where the service is used for business purposes, the Customer shall indemnify Bootify.io against third-party claims and reasonable costs arising from unlawful Project Data supplied by the Customer or a material breach of this section.
§ 5 Warranty and liability of Bootify.io
(1) Generated source code is created based on the individual Project Data and may contain errors or require further adaptation. Bootify.io does not guarantee that generated code or any referenced third-party technology or library will be error-free, complete or suitable for a particular purpose.
The Customer is responsible for reviewing, testing, securing and completing the generated source code before using it, particularly in a production environment. Nothing in this paragraph excludes or restricts any rights or remedies that cannot be excluded or restricted under applicable consumer law.
(2) Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability or mandatory consumer right that cannot legally be excluded or limited.
(3) Subject to paragraph (2), where the service is used for business purposes and to the extent permitted by law, Bootify.io is not liable to the extent that losses are caused by by third-party technologies or libraries, modifications made by the Customer, improper use of the generated code, failure to maintain appropriate backups, or circumstances outside Bootify.io’s reasonable control.
(4) Where the service is used for business purposes, Bootify.io is not liable for loss of profits, revenue, anticipated savings, contracts, goodwill or business opportunities, or for indirect or consequential losses.
(5) Subject to paragraph (2), where the service is used for business purposes and to the extent permitted by law, Bootify.io’s total liability arising out of or relating to the service is limited to the greater of:
§ 6 Privacy
(1) Information about how Bootify.io processes personal data is provided in the Bootify.io Privacy Policy available at Bootify.io Privacy applies: https://bootify.io/privacy.html
§ 7 Availability
(1) Bootify.io aims to make the website and online tool generally available. Continuous or uninterrupted availability is not guaranteed. Access may be temporarily restricted due to maintenance, updates, security measures, capacity constraints, third-party service failures or technical issues.
(2) To the extent permitted by law, Bootify.io is not liable for interruptions or failures caused by circumstances outside its reasonable control.
Nothing in this section limits any mandatory consumer rights.
(3) The Customer is responsible for providing, at their own expense, the internet access, equipment and software necessary to use the service.
